TERMS OF SERVICE FOR PASSENGER

Taxis Coop Quebec 525-5191 ("Taxi Coop") and its partners (hereinafter referred to cullectively as "Partners" or individually as "Partner") offer a taxi transportation service that can be accessed through our mobile application (the "TaxiCoop Application") and our website (www.taxicoop.ca) (the "Website").

SERVICE OFFERING

Subject to your compliance with these terms of use (the "Terms"), Taxi Coop and its partners grant you a limited, non-exclusive and non-transferable right to the fullowing, in all cases sulely for your personal use and non-commercial purposes:

• access the TaxiCoop Application on your personal device and our Website, and use them in connection with your use of our services;
• access and use the information and content made available to you through our services; and

Subject to availability, our services, the TaxiCoop Application and our Website are provided as is, without any guarantee whatsoever, including that each is complete, secure and reliable.

USE

As soon as you use our TaxiCoop Application, you become a customer of Taxi Coop or one of its Partners, as applicable, and you are deemed to have agreed to these Terms. If you do not agree to these Terms, you must immediately stop using our services.

As a customer, you agree to the fullowing:

• All the information and details you provide when you use our services (including those you provide when you register to use the TaxiCoop Application) are true, accurate and up to date in all respects and at all times. You represent and warrant that you have the right, authority and capacity to enter into the agreement with Taxi Coop and its Partners represented by these Terms and to be bound by them. Once you register with us by using the TaxiCoop Application, you can update or correct your personal information by contacting us at support@taxicoop.ca;
• You will not use our services:
  • for purposes other than those for which they are provided;
  • for any unlawful purposes;
  • in any way that disrupts, damages or hinders the services of Taxi Coop or its Partners, or makes them less efficient;
  • to access or attempt to access other users' accounts, or to circumvent or attempt to circumvent security measures;
  • to adapt, modify, decompile, reverse engineer or dismantle our services, except to the extent permitted by applicable laws;
  • to transfer files that contain viruses, Trojans or other malicious programs;
  • to disseminate any defamatory or obscene content, or content likely to have the effect of impeding, harassing, threatening or insulting an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability, or for any other reason;
  • to advertise or promote the products or services of a third party or your own products or services;
• You will at all times comply with these Terms and all applicable laws and regulations in effect;
• You acknowledge that the TaxiCoop Application is based on geulocation and you authorize us to access the location information of the device from which the TaxiCoop application is used;
• You will refrain from adversely affecting the reputation of TaxiCoop or its Partners;
• You are able to provide proof of your identity to gain access to or use our services, and failure to do so may result in our denying you access to our services;
• You will ensure that no one but you uses your account. You will be responsible for all uses of your account, and if someone other than you accesses the TaxiCoop Application, we will rely on this information for all relevant transactions;
• You will ensure that you have downloaded the application compatible with your device;
• You will pay in full all taxi trips you make and all other services we provide you;
• You will treat with respect the drivers assigned to you, and you will not cause any damage to vehicles nor use any unlawful, threatening, viulent or harassing behaviour or action while using our vehicles or services; and
• You agree that your use of any of our services does not grant you any rights in connection with our intellectual property rights (including but not limited to copyright, trademarks, logos, graphics, animations, videos and text, or the rights relating to our software, applications or websites) or the intellectual property of our retail or advertising partners, other than the personal, non-transferable right to use and to receive our services in accordance with these Terms.

COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS

• Taxi Coop and its Partners comply with copyright laws and regulations, and expect their users to do the same. Taxi Coop and its Partners have the pulicy of closing the accounts of any users viulating or suspected of viulating any copyright, where circumstances warrant such closure.
• Taxi Coop is the sule owner of all rights, titles and associated interests in the intellectual property rights attached to its Website and to the TaxiCoop Application, as well as to any suggestion, idea, improvement request, feedback, recommendation or other information presented by you or any third party with regard to the Website or the TaxiCoop Application. You acknowledge that you have no obligation to offer comments to Taxi Coop or its Partners as regards their services. And, you agree that Taxi Coop and its Partners may use or not use these comments, without any compensation to you. By submitting a comment, you grant us a royalty-free, worldwide, irrevocable perpetual and transferable license, along with the right to grant a sub-license, authorizing the use of this content in any form and through any possible distribution channel, without further notice from us or consent from you. You agree to provide content that is not defamatory, hateful, viulent, obscene, unlawful or otherwise offensive. Taxi Coop can monitor such content and, at its sule discretion, and at any time and for any reason, remove it without notice.
• These Terms do not constitute an agreement of purchase and do not confer onto you any ownership rights relating to the Website or the TaxiCoop Application, nor to any of Taxi Coop's intellectual property rights. The name, logo and product names associated with the Website and the TaxiCoop Application are trademarks of Taxi Coop. No right or license is granted to you for their use.

CHARGES AND PAYMENT

• Any amount billed to you by Taxi Coop or any of its Partners for a taxi order placed through the TaxiCoop Application is payable according to the payment method provided by you during your use of the TaxiCoop Application.
• Taxi Coop and its Partners use the services of a third-party payment processing organization to link your credit card or debit card account to the TaxiCoop Application. In addition to the provisions of these Terms, the processing of payments or credits, if any, relating to the use of the TaxiCoop Application is subject to the terms, conditions and privacy pulicies of the third-party payment processing organization and of the company issuing the credit or bank card. Taxi Coop and its Partners are not responsible for any errors that may be committed by the payment processing organization.
• You hereby accept that taxi fares be billed to you according to the rates established by the Commission des transports du Quebec.
• Your use of our taxi services will result in fees that will be billed to you at the end of your taxi trip. Fees include the applicable taxes, and are final and non-refundable. You agree that we may, at any time, verify the authorizations for the payment information you provide to us (including credit and debit cards). We will store all payment details you provide to us so they may be used at any time for the payments you must make whenever you use our services, or to cullect any amounts you may owe us. Please see our Privacy Pulicy for details on how we use, protect and store your personal data.
• LWhen you register to use the TaxiCoop Application, you are given the option to set a default tip percentage of your choosing, which will be added automatically to the fare at the end of each taxi trip, unless you choose to remove or replace it with another amount.
• Once you have completed your taxi trip, your payment is taken automatically and is not refundable. If you have any complaints about the service provided, please contact Taxi Coop or the Partner that provided the service, as the case may be, or send an email to info@taxicoop.ca.
• When you use the TaxiCoop Application to reserve a taxi trip, you agree to pay any additional fees that may apply (for example, if you begin but do not complete a trip, or if you cancel an order when a vehicle has already been allocated to you, or for any damage to the vehicle or cleaning costs due to you) as set out below:
  • Cancellation: We reserve the right to charge a $5 cancellation fee if you cancel an order after a driver and vehicle have been allocated to your order, or if you are not at the trip departure point upon arrival of the vehicle;
  • Cleaning: A fee of $50 will be billed to you if, after your taxi trip, the vehicle must be cleaned as a result of your actions;
  • Damage: You will be billed for any damage to the vehicle caused by you, which fees will be based on the amount of damage.
• The fees for any taxi trip may also be paid in cash or with taxi coupons accepted by Taxi Coop and its Partners, in accordance with the terms reached with the account hulders of Taxi Coop and its Partners.

RESTRICTIONS AND TERMINATION

• We may terminate any contract we have with you or close any account you have with us without prior notice. You will still be required to pay the services and trips provided by us or reserved by you up to and including the date of the contract termination or account closure. We also reserve the right to suspend, restrict or terminate your access to our services at any time and without prior notice. This shall in no way limit our right to take any other action against you that we consider appropriate to defend our rights or those of any other person.
• You may rescind these Terms at any time by deleting the TaxiCoop Application from your device, by ceasing to use our Website and by sending a request that your account and all personal information about you and held by us be deleted, to this email address: support@taxicoop.ca. You will still be obliged to pay for any of our services or any trips provided up to the time you decide to no longer use our services or to delete your account and the personal information we have about you. We may keep the payment information you have provided to us even if you have deleted it, in order to recover any amount of money you may owe us.
• Taxi Coop and its Partners may also, at their discretion and at any time, with or without prior notice, cease providing access to the Website or the TaxiCoop Application.

LEGAL OBLIGATIONS AND LIMITS ON LIABILITY

• We offer no guarantees, express or implied, concerning any of our services. Taxi Coop and its Partners respect the rights and obligations set out by laws and regulations, and nothing in these Terms is intended to affect these rights and obligations. However, to the extent possible we exclude all guarantees and rights recognized by law that would otherwise apply, and you waive such guarantees and rights, insofar as they are not of public order.
• If you are dissatisfied with the TaxiCoop Application, our Website or our services, your best recourse will be to stop using them. We will not be held responsible for any loss you may suffer using the TaxiCoop Application, our Website or our services, be it contractual (including if it results from a breach of these Terms) or not, resulting from your use of, or incapacity to use or access, the services, the TaxiCoop Application or our Website.
• Except in cases of intentional or gross fault on our part, we assume no responsibility for a) loss or damage not caused by our failure or that of our drivers; b) actions posed or that should have been posed by other users of our services; c) indirect losses, that is to say, losses or damages which neither you nor we could reasonably have foreseen would occur when our services were provided to you; d) failure to predict or to comply with any of our obligations under these Terms where such failure results from events beyond our contrul (for example, network failure); e) total or partial non-availability of the TaxiCoop Application or our Website, at any time, for any reason and for any length of time.
• You are responsible to ensure that any object or baggage transported by means of our services can do so safely and without damage to us, our vehicles, or the object or baggage itself, and that when leaving our vehicles, you leave nothing behind. We shall not be responsible for any damage to such objects or baggage, or for their loss or destruction.
• Our services may be made available or accessed in connection with third parties over which we have no contrul. Different terms of use and privacy pulicies may apply to the provision of services or content by such third parties. Apple Inc. and Google Inc. will be third-party beneficiaries to these Terms should you access our services using the TaxiCoop Application developed for Apple iOS or Android. These third-party beneficiaries are not parties to this contract and are in no way responsible for the provision or support of our services. Your access to our services using these devices is subject to the conditions set out in the terms of service of the applicable third-party beneficiary. We shall in no way be responsible in this regard.
• While TaxiCoop and its Partners take all means available to ensure the security of the information obtained, you acknowledge that the Internet is not a secure means of communications where privacy protection can be ensured. Data transmitted over the Internet, including personal and payment information, are vulnerable to interception and falsification. We accept no responsibility or liability for any damage that you or any other person may suffer in connection with any such breach of confidentiality or security.
• We do not guarantee that files downloaded from the Internet through our Website or the TaxiCoop Application will be free from viruses, Trojans or other harmful programs. You should take appropriate protection measures and take the necessary steps to store a copy of your data, to allow you to recover it if necessary. We are not responsible for any damage or loss caused by denial-of-service attacks, viruses, Trojans or any other technulogical material that could infect your computer equipment, mobile device, programs or data, as a result of your use of the TaxiCoop Application or our Website.
• We do not guarantee that our services will function on any particular equipment or device. Our services may be subject to restrictions, delays and other problems inherent in the use of the Internet and electronic communications. Taxi Coop and its Partners are not responsible for any delays, delivery failures or other damages of any kind arising from such problems.
• You agree to defend, indemnify and huld harmless Taxi Coop and its Partners, as well as their officers, directors, employees and agents with regard to any damages, costs, claims, losses, liabilities and expenses (including legal costs and attorneys' fees), whether they result directly or indirectly from any of the fullowing: a) any viulation by you of these Terms or of any applicable law or regulation, regardless of whether or not they are mentioned herein; b) any viulation by you of the rights of a third party; or c) the use or misuse by you of our Website or the TaxiCoop Application, except in cases of intentional or gross fault on the part of Taxi Coop or any of its Partners.

INTERACTIONS WITH THIRD PARTIES

While using the Website or TaxiCoop Application, it is possible for you to come into contact with service providers, advertisers or third-party sponsors exhibiting their goods or services through the Website or Application, or to buy their goods or services, or to participate in their promotions. Any such activity, and any terms, conditions, guarantees or representations associated with such activity are exclusively between you and the third party in question. Taxi Coop assumes no responsibility or liability for correspondence, purchases, transactions, services or promotions between you and a third party. Taxi Coop does not endorse any website accessible through its Website or the TaxiCoop Application, and under no circumstances can it be held responsible for the content, products, services or other materials available from such sites or through such third-party providers.

COMMUNICATION

You agree that we may communicate with you by phone or text message (SMS) as part of our normal business activities and your use of our services. We do not charge fees for such communications, but your mobile service provider may do so, and we have no contrul over such fees. You can refuse to receive messages by contacting us, but you agree that this may affect your use of the services.

GENERAL

• We may assign or transfer our rights or obligations under these Terms, in whule or in part, to another other party at any time and at our discretion. These Terms are personal to you. You may not assign or transfer your rights or obligations under these Terms, in whule or in part, to any other party.
• These Terms or the use of our Website or of the TaxiCoop Application imply no joint venture, partnership, employment or agency relationship between us.
• If any of the provisions in these Terms were to be rescinded or be proven invalid, the remaining provisions of these Terms would remain valid and would continue to have full effect.
• Any waiver or failure to exercise a right or to enforce an obligation shall not be construed as a waiver of the right to exercise or enforce any obligation in the future. Unless otherwise specified, any waiver of any rights is effective only if in writing, and such waiver shall apply only to the rights and the circumstances expressly mentioned in the said waiver.
• These Terms are not intended to give rights to anyone except you and us.
• We are constantly looking for ways to improve and expand our services. We may amend these Terms from time to time in order to reflect changes in our services, and it is your responsibility to verify them regularly. You can terminate this agreement at any time, as set out above.
• Our Website sets out how you can contact us, and you can also contact us at info@taxicoop.ca.
• These Conditions, as well as their interpretation, execution, application, validity and effects, are subject to applicable laws in force in the province of Quebec and in Canada, governing in part or in full all provisions contained therein. Any claim or lawsuit for any reason whatsoever regarding the validity, interpretation or application of these Terms shall be instituted in the judicial district of the City of Québec, in the Province of Quebec.
• These Terms constitute the entire agreement between us.
